Terms of Service

1. The Service

Profit + Restock Planner is a subscription-based business software tool designed to help handmade sellers organize product and sales information, understand profitability, evaluate inventory, and make restock decisions.

The service may include tools for profit and margin calculations, effective hourly return, sales tracking, inventory planning, restock priorities, restock budget allocation, CSV imports, and related business-planning functions.

Profit + Restock Planner is intended to support business planning and decision-making. You remain responsible for the business decisions you make using information provided by the service.

2. Eligibility

You must be legally capable of entering into a binding agreement to create an account or use the service.

By using Profit + Restock Planner, you represent that the information you provide is accurate and that you are authorized to use any information you enter or import into your account.

3. Account Security and Responsibility

You are responsible for maintaining the confidentiality and security of your account credentials.

You agree to:

• keep your login information secure;
• not share your account with unauthorized users;
• maintain access to the email address associated with your account;
• promptly notify us if you believe your account has been compromised; and
• accept responsibility for activity conducted through your account unless otherwise required by law.

4. Subscription and Automatic Renewal

Profit + Restock Planner is offered as a recurring monthly subscription.

The current subscription price is $14.99 USD per month.

Your subscription automatically renews each month unless you cancel it before the next renewal date.

You may cancel at any time through the subscription-management area provided in the app.

When you voluntarily cancel, future renewals stop and you continue to have access through the end of the billing period you have already paid for.

5. Changes to Pricing

The Quiet Reign LLC. may change subscription pricing in the future.

Any pricing change will apply prospectively and will be communicated in advance when required by applicable law.

If a pricing change applies to your existing subscription, any required notice and cancellation information will be provided before the new price takes effect.

6. Payments and Billing

Subscription payments are processed through Stripe payment services.

For covered transactions, Stripe or Link may provide payment processing, billing support, payment-method management, receipts, invoices, tax handling, fraud prevention, and related transaction services.

The Quiet Reign LLC. does not directly store your full payment-card number.

You are responsible for maintaining a valid payment method for your subscription.

7. Email and Other Communications

We use the email address associated with your account to provide and administer the service, including:

• account verification;
• login and security notices;
• password reset communications;
• billing and subscription notices;
• customer support;
• important service updates; and
• notices relating to changes that materially affect the service or your account.

Where permitted by law, we may also use your email address to send information about The Quiet Reign LLC. products, new features, services, offers, promotions, discounts, and other communications relevant to our customers.

You may unsubscribe from promotional communications at any time using the unsubscribe option or instructions provided in those messages.

Unsubscribing from promotional communications will not prevent us from sending communications necessary to administer your account, subscription, security, billing, or use of the service.

8. Permitted Use

Your subscription gives you a limited, non-exclusive, non-transferable, revocable right to use Profit + Restock Planner for your own lawful business purposes while you are authorized to access the service.

You may enter or import your own business information into the fields and features provided for that purpose.

You may not:

• copy, reproduce, republish, sell, sublicense, or commercially redistribute the service;
• share access with unauthorized users;
• alter or attempt to alter the software except through normal use of the functions provided to you;
• bypass or attempt to bypass authentication, subscription, or security controls;
• reverse engineer, decompile, disassemble, or otherwise attempt to derive the underlying source code except where such restriction is prohibited by law;
• scrape, extract, reproduce, or use the service to create a competing or substantially similar product;
• interfere with the operation or security of the service;
• upload malicious code;
• probe or exploit security vulnerabilities;
• access or attempt to access another user's account or data;
• use the service for unlawful or fraudulent activity; or
• use the service in a way that infringes the rights of The Quiet Reign LLC. or any third party.

9. Intellectual Property

Profit + Restock Planner, including its software, interface, design, branding, text, organization, workflows, calculation structure, features, and other original content, is owned by or licensed to The Quiet Reign LLC. and is protected by applicable intellectual-property laws.

Your subscription does not transfer ownership of any portion of the service to you.

All rights not expressly granted under these Terms are reserved by The Quiet Reign LLC.

10. Your Business Data

You retain ownership of the business information you enter or import into your account.

You grant The Quiet Reign LLC. and its service providers the limited rights reasonably necessary to host, process, secure, store, calculate, back up, and display that information for the purpose of providing and supporting the service.

You are responsible for ensuring that information you enter or import is accurate, lawful, and information you have the right to use.

11. Business Planning and User Responsibility

Profit + Restock Planner provides business-planning information based on the data and settings available in your account.

The service is not a substitute for professional accounting, tax, legal, financial, or investment advice.

You remain responsible for reviewing your information and determining whether any calculation, recommendation, or planning result is appropriate for your business.

The Quiet Reign LLC. does not guarantee any particular sales, revenue, profit, inventory, or business outcome.

12. Service Changes

The Quiet Reign LLC. may update, improve, modify, add, remove, replace, or discontinue features or portions of the service as the product evolves.

We may make changes for reasons including security, legal compliance, technical compatibility, performance, customer needs, or product improvement.

If a material change requires notice under applicable law, we will provide the required notice.

13. Third-Party Services

Profit + Restock Planner may rely on third-party services for payment processing, hosting, authentication, database functions, security, communications, or other technical services.

Those third-party services may be subject to their own terms and privacy practices.

The Quiet Reign LLC. is not responsible for independent products or services controlled solely by third parties.

14. Suspension and Termination

We may suspend or terminate access to the service when reasonably necessary to protect The Quiet Reign LLC., the service, other users, or third parties, including in cases involving:

• non-payment;
• fraud;
• unlawful activity;
• unauthorized access;
• security threats;
• misuse or abuse of the service;
• violation of these Terms; or
• infringement of intellectual-property or other legal rights.

Where appropriate and legally required, we may provide notice or an opportunity to address the issue.

15. Data Retention After Subscription Ends

Ending a subscription does not immediately delete your saved workspace data.

After paid access ends, inactive workspace data may be retained for up to 12 months to allow reactivation and return to your saved information.

After that period, The Quiet Reign LLC. may delete inactive workspace data unless longer retention is required or permitted by law.

You may request deletion of your account data by contacting support@thequietreign.com, subject to any information we are required or permitted to retain.

16. Disclaimer of Warranties

To the fullest extent permitted by applicable law, Profit + Restock Planner is provided on an “as is” and “as available” basis.

Except for rights or warranties that cannot lawfully be excluded, The Quiet Reign LLC. makes no additional warranties, express or implied, regarding the service or any particular business outcome resulting from its use.

17. Limitation of Liability

To the fullest extent permitted by applicable law, The Quiet Reign LLC. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the service.

To the fullest extent permitted by law, The Quiet Reign LLC.’s total aggregate liability arising from or relating to Profit + Restock Planner will not exceed the amount you paid for the service during the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

18. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless The Quiet Reign LLC. and its owners, officers, employees, contractors, and service providers from claims, losses, liabilities, damages, and reasonable costs arising from:

• your unlawful use of the service;
• information you upload or use without authorization;
• your violation of these Terms; or
• your infringement of another person's rights.

This obligation does not apply to the extent a claim results from conduct of The Quiet Reign LLC. for which liability cannot lawfully be shifted.

19. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any rights or protections that cannot legally be waived remain unaffected.

20. Changes to These Terms

The Quiet Reign LLC. may update these Terms from time to time.

The updated Terms will display a revised effective date.

If a material change requires additional notice or consent under applicable law, we will provide it.

Continued use of the service after an updated version becomes effective constitutes acceptance of the revised Terms to the extent permitted by law.

21. Entire Agreement

These Terms, together with the Privacy Policy and Refund & Cancellation Policy, form the agreement governing your use of Profit + Restock Planner, except where additional written terms expressly apply.
